Terms & Conditions

These Terms and Conditions govern the relationship between Mentari ("we", "us", "our") and any person or organisation ("you", "client") who engages our AI integration consulting services. Please read them carefully before proceeding. By making an enquiry, booking a session, or proceeding with any service, you indicate that you have read and understood these terms. If anything is unclear, you are welcome to contact us before committing to anything.

1. Definitions

The following terms carry specific meanings throughout this document:

  • "Agreement" — the contract formed between Mentari and the Client upon confirmation of a service engagement, incorporating these Terms.
  • "Service" — any AI integration consulting engagement delivered by Mentari, including but not limited to the AI Readiness Conversation, Hands-On Setup Sprint, and Ongoing Advisory Partnership.
  • "Client" / "You" — the individual, sole proprietor, or business entity that engages Mentari for a Service.
  • "We / Us / Our" — Mentari, operating from No. 45, Jalan Besar, 25000 Kuantan, Pahang, Malaysia.
  • "Deliverables" — documents, notes, guides, or recommendations produced specifically for the Client during a Service engagement.
  • "Session" — a scheduled meeting, call, or interaction forming part of a Service.

2. Acceptance of Terms

By proceeding with any Mentari service engagement, you confirm that:

  • You are at least 18 years of age, or acting on behalf of a registered business entity in Malaysia.
  • You have the legal capacity and authority to enter into this Agreement.
  • You have read, understood, and agree to be bound by these Terms and Conditions.
  • If acting on behalf of a business, you have authority to bind that business to these terms.

Acceptance is indicated by: submitting an enquiry through our website, confirming a session booking in writing (including email or messaging), or making a payment towards any service.

3. Service Description

Mentari provides AI integration advisory services tailored to small and medium-sized businesses in Pahang and across Malaysia. Our work is focused on practical, manageable steps — not large-scale technology overhauls.

Our current service offerings are:

  • AI Readiness Conversation (RM 565) — a consultative session to understand your current operations and identify areas where simple AI tools may assist.
  • Hands-On Setup Sprint (RM 1,270) — a guided, practical engagement to set up and integrate one AI tool into your team's daily work over approximately one month.
  • Ongoing Advisory Partnership (RM 2,210/period) — a continuing advisory relationship providing regular review calls, recommendations, and small refinements over an agreed period.

Services are delivered primarily in Kuantan and surrounding Pahang areas, with remote delivery available where appropriate. Availability is subject to scheduling and capacity.

4. Engagement Process

Our engagement process is designed to be straightforward and respectful of your time:

  1. You submit an enquiry through our website or contact us directly.
  2. We respond within two business days to confirm details and availability.
  3. We agree on scope, schedule, and any specific requirements in writing.
  4. A service confirmation is issued, and payment terms are agreed.
  5. The Service commences on the agreed date.

No work commences until both parties have confirmed the engagement in writing and any required deposit has been received.

5. User Responsibilities

For our work together to go well, we ask that you:

  • Provide accurate and complete information about your business operations when asked.
  • Make relevant staff available for sessions agreed in the engagement scope.
  • Respond to communications within a reasonable timeframe (we suggest within three business days).
  • Honour scheduled sessions or give at least 48 hours' notice if rescheduling is needed.
  • Use any tools or recommendations provided only for lawful business purposes.
  • Not share, reproduce, or distribute Deliverables to third parties without our written consent.
  • Refrain from using our Deliverables to misrepresent your capabilities to customers, investors, or other parties.

We understand that small business schedules are unpredictable. We aim to be flexible, and we ask for the same consideration in return.

6. Intellectual Property

All materials, frameworks, methodologies, and general knowledge developed by Mentari prior to or independently of your engagement remain our intellectual property.

Deliverables produced specifically for your engagement — such as your AI readiness notes or setup guides — are provided to you for your internal business use under a limited, non-exclusive licence. You may not resell, sublicence, or distribute these materials commercially.

Any third-party tools recommended or used during your engagement remain subject to the terms of those respective providers.

7. Payment Terms

  • Currency: All fees are quoted and payable in Malaysian Ringgit (RM).
  • Payment schedule: A 50% deposit is required before the Service commences; the remaining balance is due on or before the final session or delivery of the final Deliverable, unless otherwise agreed in writing.
  • Payment methods: Bank transfer (FPX), DuitNow, or as otherwise agreed. Details are provided in your service confirmation.
  • Late payment: If payment is delayed beyond 14 days of the agreed due date without prior arrangement, we reserve the right to pause the engagement until the account is settled.
  • Cancellation and refunds: If you cancel before work has commenced, your deposit will be returned in full. If work is underway, a pro-rated refund may be offered at our discretion, reflecting the portion of work not yet delivered. We try to be fair — if circumstances change, please speak with us directly.
  • Scope changes: Any agreed changes to the scope of an engagement may result in adjusted fees, which will be confirmed with you in writing before proceeding.

8. Service-Specific Terms

AI Readiness Conversation

This is a single advisory session. The plain-language note provided afterwards is a record of discussion and suggestions — it is not a binding recommendation, audit, or formal report. You are under no obligation to take any action as a result.

Hands-On Setup Sprint

The Sprint spans approximately one calendar month. The tool implemented will be agreed with you at the start. Timelines may shift if staff availability changes — we will work around this where we can. Short usage guides provided are for your team's internal reference only. Ongoing technical support from third-party tool providers is the responsibility of those providers, not Mentari.

Ongoing Advisory Partnership

The scope, frequency, and duration of this engagement are agreed with you at the outset and confirmed in writing. You may pause or adjust the engagement with 14 days' written notice. Fees for the current period are not refundable upon pause unless no sessions have taken place in that period.

9. Disclaimers

Our services are provided in good faith based on information shared with us and our understanding of available AI tools at the time of engagement. We want to be clear about what we do and do not offer:

  • We do not make predictions about business outcomes, revenue, or cost savings resulting from the use of AI tools.
  • Our recommendations reflect our professional judgement at the time they are given; they are not a substitute for legal, financial, or technical advice from qualified professionals.
  • Third-party AI tools carry their own terms, privacy policies, and limitations. Mentari is not responsible for changes to those tools' functionality, pricing, or availability.
  • Results from implementing AI tools will vary depending on the nature of your business, staff adoption, and other factors outside our control.
  • Website content and service descriptions are provided for general information and may be updated without notice.

10. Limitation of Liability

To the extent permitted under Malaysian law:

  • Mentari's total liability to you under any engagement shall not exceed the total fees paid by you for that specific engagement.
  • We are not liable for indirect, consequential, or incidental losses, including loss of revenue, loss of data, or business interruption.
  • We are not liable for losses arising from your use of third-party AI tools recommended during an engagement.
  • We are not liable for circumstances beyond our reasonable control, including natural events, illness, or platform outages affecting third-party tools.

Nothing in these Terms limits any statutory rights you hold as a consumer or business under Malaysian law that cannot be excluded.

11. Confidentiality

We understand that sharing details about your business operations requires trust. We treat all client information as confidential and will not share it with third parties except where necessary to deliver the Service or as required by law.

Where a formal confidentiality agreement is needed for your comfort, we are open to discussing that before the engagement begins. We ask the same in return — that you treat any internal Mentari processes or methodologies shared with you as confidential.

12. Termination

Either party may end an engagement by giving written notice:

  • Client termination: You may end the engagement at any time by notifying us in writing. Fees for work already delivered or scheduled within the notice period remain payable.
  • Mentari termination: We may end the engagement if payment obligations are not met after reasonable notice, or if circumstances arise that make delivery no longer practicable.
  • Mutual agreement: We may agree to end or restructure an engagement at any time by written mutual consent.

Sections 6, 9, 10, 11, and 13 of these Terms survive termination of any engagement.

13. Dispute Resolution

We hope that any concerns can be resolved through direct conversation. If a dispute arises, we ask that you contact us first so we can try to reach a fair resolution informally.

  • Governing law: These Terms are governed by the laws of Malaysia.
  • Jurisdiction: Any unresolved legal disputes shall be submitted to the courts of Kuantan, Pahang, Malaysia.
  • Informal resolution: Before initiating any formal proceedings, both parties agree to attempt resolution through good-faith communication for at least 30 days.
  • Consumer rights: Nothing in these terms affects your rights under Malaysian consumer protection legislation, including the Consumer Protection Act 1999.

14. General Provisions

  • Entire agreement: These Terms, together with any written service confirmation, constitute the entire agreement between the parties for the relevant engagement.
  • Severability: If any part of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Our failure to enforce any provision on one occasion does not waive our right to enforce it on future occasions.
  • Assignment: You may not transfer or assign your rights under any engagement without our written consent. We may transfer our obligations to another party with reasonable notice.
  • Notices: Written communications should be sent to [email protected]. We will correspond using the contact details you provide.

15. Changes to Terms

We may update these Terms from time to time as our services develop or as legal requirements change. When we do:

  • The "Last Updated" date at the top of this page will be revised.
  • Changes take effect from the date of publication on this page.
  • For active engagements, material changes will be communicated to you directly before they apply.
  • Continuing to use our services after notice of changes constitutes acceptance of the updated Terms.

We encourage you to revisit this page periodically. We will not make changes that undermine commitments already made to you in a written service confirmation.
